Registered in USA (Delaware, California) and Vadodara (Gujarat,IN) SANJEEV TANNA EDUCATION PRIVATE LIMITED (STEPL)  is in the business of providing K-12 educational learning programs via our online platform ngnlearning.com

Acceptance of Terms of Services

With the Terms of Conditions (Terms) of SANJEEV TANNA EDUCATION PRIVATE LIMITED (hereinafter referred to as NGNSoft or NGNLearning) , you are agreeing to be bound by the following terms and conditions. We reserve the right to amend the terms and conditions from time to time without prior notice.

For purposes of this agreement, “NGNSoft” or “SANJEEV TANNA EDUCATION PRIVATE LIMITED” or “STEPL” or “The Company”  refers to the Company’s website, which can be accessed at  https://ngnlearning.com.

“Service” refers to the Company’s services accessed via the Site, in which users can visit our website for the purpose of purchasing online classes. The terms “We,” “Us,” and “Our” refer to “The Company”, our partners, and affiliates. “You”, “Your”, “User”  refers to an end-user of our Site or our Service.  Our end-users could be anyone like parents, students, teachers, schools, private tutors, or anyone seeking our services.

License to Use:

SANJEEV TANNA EDUCATION PRIVATE LIMITED (STEPL) hereby grants permission to you and your child the limited, non-transferable, non-exclusive, and revocable right to use our website.
  1. You will use our platform only for browsing and participating in classes
  2. STEPL reserves the right to deny any services with or without an explanation
  3. We give license for non-commercial and personal use ONLY for you and your child
  4. You shall not reproduce, distribute, sub-license or re-purpose our content that will violate our terms and condition policies
  5. You will require an official written permission to use our online platform for any purposes other than those mentioned above

General:

During registration or purchase, we collect your name, child’s details, email, phone, and address.

  • You are allowed to use our website by registering with us (refer to ‘Registration Rules’ for details)
  • You agree to abide by our terms and conditions, while using our website and services by any electronic media for the purpose of browsing, copying or downloading
  • As per NGNLearning policy, anyone below 18 years is considered as a child that requires parental or guardian consent to use our website
  • Terms and Conditions also apply to NGN counselors, tutors, and any registered users with us

Service Description:

  • STEPL provides online educational services to K-12 children in various courses
  • Unless stated otherwise, any new features that enhance our current services shall be subject to the Terms & Conditions
  • You agree that the services are provided ‘as is’ and STEPL assumes no responsibility for failure to store any user communication or personalized information

Registration Rules:

  1. While registering with us, you agree to provide current, truthful, and accurate information about you and your child.
  2. STEPL has the right to suspend or delete your account and refuse current or future use of services, should we suspect your given information is not current and untrue

  5. You will be asked to provide your personal information during signup/login/purchasing our products and services, which will create your account. Furthermore, you can enter your username and password and log-in to your account
  6. You will be asked to share information about your name, phone number, email, photo and residential address
  7. STEPL may ask the DOB for age verification of the child
  8. You must be 18 years old to register on the platform. Registration for users under the age of 18 years must be completed by a parent or guardian
  9. Violation to any of our terms will lead to immediate suspension or deletion of your account

IP Rights:

  1. SANJEEV TANNA EDUCATION PRIVATE LIMITED (STEPL) team has worked hard to develop our proprietary content. STEPL is the only owner of the curriculum and content. Most of the classes will be recorded. You agree and understand that STEPL has exclusive rights to claim our intellectual property
  2. STEPL has exclusive rights to publish, post and advertise, broadcast, and modify any recorded content and post to various online platforms
  3. You agree that SANJEEV TANNA EDUCATION PRIVATE LIMITED  may set up events. SANJEEV TANNA EDUCATION PRIVATE LIMITED  has exclusive rights to record and share videos. Interviews, chat, messages, voice, and testimonials.
  4. You unconditionally provide a release to the SANJEEV TANNA EDUCATION PRIVATE LIMITED from any claim that may come from various means
  5. You will not be compensated for any recorded contents in which you have participated. We do not have any obligation to use your voice, recording, video, photo for advertising and marketing purposes
  6. You agree that you are solely responsible for compliance with any regulations, and Tax obligations that may happen due to using our services

Virtual Couseling :

Sanjeev Tanna Education Private Limited ("the Company") provides virtual counselling services tailored to children and teens. We recognize the gravity of mental health issues such as suicidal thoughts, depression, and negative ideation and are dedicated to offering professional support and guidance.

  2. Our virtual counselling services include therapy, support, and guidance for children and teens facing various mental health challenges. This policy aims to clarify the roles and responsibilities of parents, the Company, and our counsellors in the context of virtual counselling services provided to children and teens.

  3. Parental Responsibility
  4. Parents or legal guardians bear the primary responsibility for overseeing their child's engagement with our services, especially if their child is experiencing suicidal or depressive thoughts. It is incumbent upon parents to monitor their child's well-being and seek additional assistance if necessary.

  5. Disclaimer
  6. While the Company endeavours to provide effective support, it is essential to understand that our services are not a substitute for professional medical advice or emergency intervention. The Company shall not be held liable for any outcomes arising from the engagement with our services, including but not limited to adverse reactions, misunderstandings, or any consequences related to mental health conditions.

  7. Qualifications of Counsellors
  8. Our counsellors are not necessarily certified clinical psychologists. However, they hold degrees in psychology, education, or related fields, and have undergone sufficient training to work effectively with children and teens.

  9. Fees and Agreement
  10. By paying fees for demo and counselling classes, you agree to the terms and conditions outlined in this policy.

  11. Indemnification
  12. By utilizing our services, parents agree to indemnify and hold harmless Sanjeev Tanna Education Private Limited, its officers, employees, and affiliates, from and against any claims, liabilities, damages, losses, or expenses arising from or related to the use of our services, including situations involving children with suicidal or depressive thoughts.

  13. No Liability Clause
  14. The Company disclaims any liability for direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use of our services, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses.

  15. Warranties of Services
  16. Parents acknowledge that while the Company strives to deliver high-quality services, we do not warrant or guarantee specific outcomes from the use of our services, including the resolution of mental health issues.

  17. Parties Involved
  18. This policy governs the relationship between Sanjeev Tanna Education Private Limited ("the Company"), parents or legal guardians ("Parents"), and our counsellors.

  19. Acceptance of Terms
  20. By accessing or using our services, Parents acknowledge and agree to abide by the terms and conditions outlined in this policy, as well as our Terms and Conditions and Privacy Policy.

Our Partners and Third Party Service Providers

  1. Our platform is developed by various third parties software, products, and services. By agreeing to our terms and conditions, you agree to share your information with our third-party partners and service providers
  2. You agree that your personal data will be processed, stored and shared to our partners and third parties to provide our services and products to you
  3. STEPL shall not be liable for any direct or indirect dispute that may arise between you and third party providers

Personal Information

  1. You will be asked to provide your personal demographic information like name, age, phone number, email address, occupation, residential address to enroll into our program
  2. You hereby authorize STEPL to contact you via any communication channels like email, WhatsApp, SMS, email, phone call, etc
  3. You hereby waive any legal or equitable rights or remedies you have or may have against the STEPL

Governing Laws and Jurisdiction

  1. Dispute on our terms and conditions and policies shall be referred to an independent arbitrator
  2. Independent arbitrators’ decisions shall be final and binding by all parties
  3. In accordance with International American Arbitration Association (“AAA”) will be used for arbitration purposes
  4. The seat of arbitration shall be the State of Delaware, USA
  5. The Terms shall be in accordance with  United States of America law. For proceedings arising in the Courts in the State of Delaware

Termination

  1. SANJEEV TANNA EDUCATION PRIVATE LIMITED , in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future products and services for any reason at any time
  2. Termination may result in deleting or deactivating your Account or seizing your access to your Account
  3. STEPL reserves the right to refuse service to anyone for any reason at any time

Limited Liability

  1. In no event shall the Company be individually liable to you for any damages for breach of fiduciary duty by third-parties, unless the NGNLearning’s act or failure to act involves intentional misconduct, fraud, or a knowing violation of the law
  2. You agree to indemnify and hold harmless our directors and officers
  3. You agree to release SANJEEV TANNA EDUCATION PRIVATE LIMITED from any and all kind of claims that anyone may file against SANJEEV TANNA EDUCATION PRIVATE LIMITED
  4. Notwithstanding anything written herein to the contrary, you and the Company acknowledge and agree that the SANJEEV TANNA EDUCATION PRIVATE LIMITED will not be liable for any losses or damages, whether indirect, incidental, special or consequential, in profits, goods, or services, irrespective of whether or not you have been advised or otherwise might have anticipated the possibility of such loss or damage
  5. You will assume costs associated with SANJEEV TANNA EDUCATION PRIVATE LIMITED on courts and legal fees
  6. SANJEEV TANNA EDUCATION PRIVATE LIMITED can not guarantee that the contents presented in our platform and taught by our counselors are accurate and complete and truthful
  7. SANJEEV TANNA EDUCATION PRIVATE LIMITED does not guarantee the quality of services provided by our counselors to your child
  8. During live classes, if NGN counselors/tutors misbehaves, use foul languages or use sexual acts, or show pornographic images, you will inform us immediately
  9. SANJEEV TANNA EDUCATION PRIVATE LIMITED provides services “as is” with our professional expertise and skills

Billing and Refund Policy

  1. SANJEEV TANNA EDUCATION PRIVATE LIMITED (STEPL) platform offers paid tuition classes depending on the plan you have chosen
  2. You authorize STEPL to charge your credit/debit card. Your payment will be processed by our payment gateway/third-party partners
  3. You agree to pay any applicable fees and taxes as per our payment gateway, third-party partners’ terms & conditions and privacy policy
  4. STEPL is not responsible for fraud, lost amounts, or any unauthorized usage that may occur during the transaction

Refund Policy

  1. The refund amount will be limited only to the services not rendered by the STEPL
  2. Users may be responsible to pay for any fees associated with refund payment applicable by payment gateway/third party service provider
  3. Refund payment will be provided to your account within 5 business days after receiving a refund request
  4. STEPL has the right to charge a reasonable deduction for refund at any time during the transaction
  5. The user is eligible for partial refund of enrollment fee, only if he/she wants to exit the course after two classes (due to the child not clearing English and math proficiency tests)
  6. After two classes, there will be no provision for refund

Indemnify

You hereby agree to indemnify and hold harmless the SANJEEV TANNA EDUCATION PRIVATE LIMITED , its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from our services.

NON SOLICITATION

You will not directly or indirectly solicit or encourage any person to leave the SANJEEV TANNA EDUCATION PRIVATE LIMITED program

Modification to Service

  1. SANJEEV TANNA EDUCATION PRIVATE LIMITED reserves the right to any time and from time to time amend or discontinue the services with or without notification
  2. You agree that SANJEEV TANNA EDUCATION PRIVATE LIMITED  shall not be liable to you or to any third party for any modification, suspension or temporary discontinuance of the Service
